Terms of Service

These Terms apply to:

• Visitors and users of the Facto IT website and related online pages
• Prospective and existing clients who request information, consultations, or proposals
• Partners and vendors who interact with us through the Site

You represent that you are at least 18 years old and have the legal capacity to enter into binding agreements. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Facto IT provides technology consulting, cloud and DevOps, cybersecurity, software development, AI solutions, and related professional services ("Services"). Information on the Site is for general marketing and informational purposes.

Specific deliverables, timelines, fees, and obligations for client work are governed by separate statements of work, proposals, master service agreements, or other written contracts ("Client Agreements"). If there is a conflict between these Terms and a signed Client Agreement, the Client Agreement will control for that engagement.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal or internal business purposes, subject to these Terms. You may not:

• Copy, modify, distribute, or create derivative works from Site content without permission
• Reverse engineer, scrape, or use automated tools to access the Site without consent
• Interfere with Site security, performance, or other users' access
• Use the Site for unlawful, fraudulent, or harmful purposes
• Impersonate any person or misrepresent your affiliation with Facto IT

We may suspend or terminate access to the Site at any time, with or without notice, for conduct that we believe violates these Terms or applicable law.

The Site and its content — including text, graphics, logos, icons, images, software, case studies, and design — are owned by Facto IT or our licensors and are protected by copyright, trademark, and other intellectual property laws.

"Facto," "Facto IT," and related marks are our trademarks. You may not use our names, logos, or branding without prior written consent, except as permitted by applicable law for fair reference.

Unless otherwise agreed in writing, no rights or licenses are granted to you except as expressly stated in these Terms or a Client Agreement.

When you submit contact forms, emails, or other communications, you agree that the information you provide is accurate to the best of your knowledge and that you have the right to share it.

You grant Facto IT a non-exclusive license to use submissions for responding to inquiries, preparing proposals, delivering Services, and improving our operations, in accordance with our Privacy Policy.

If you provide suggestions, ideas, or feedback about our Services or Site ("Feedback"), you agree that we may use Feedback without restriction or compensation, and that Feedback is non-confidential unless we agree otherwise in writing.

The Site may contain links to third-party websites, tools, or platforms (such as client sites, cloud providers, messaging apps, or social media). We do not control and are not responsible for third-party content, policies, or practices.

Your use of third-party services is at your own risk and subject to their terms and privacy policies. A link on our Site does not imply endorsement unless explicitly stated.

We treat client and business information shared during engagements as confidential where appropriate and as described in our Privacy Policy and any Client Agreement. You agree not to misuse confidential information we share during pre-sales or delivery discussions.

You are responsible for securing credentials, access keys, and data you provide to us for project work, and for ensuring you have rights to share such materials.

THE SITE AND GENERAL INFORMATION ON IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, FACTO IT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. Content on the Site may change without notice and may not reflect the most current offerings or technical details.

General information on the Site does not constitute legal, financial, or professional advice. You should obtain independent advice before making business decisions based on Site content.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FACTO IT AND ITS DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE SITE.

Our total liability for claims arising from your use of the Site (excluding matters covered by a Client Agreement) will not exceed the greater of (a) amounts you paid to us for Services in the twelve (12) months before the claim, or (b) INR 10,000.

Some jurisdictions do not allow certain limitations; in those cases, our liability will be limited to the fullest extent permitted by law.

You agree to indemnify and hold harmless Facto IT and its officers, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Site, violation of these Terms, infringement of third-party rights, or inaccurate information you submit.

Our collection and use of personal information is described in our Privacy Policy. By using the Site, you acknowledge that you have read and understood that policy.

We may update these Terms from time to time. The "Last updated" date at the top indicates when changes were last made. Material updates will be posted on this page. Continued use of the Site after changes become effective constitutes your acceptance of the revised Terms.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to applicable law, courts in Noida, Uttar Pradesh, India shall have exclusive jurisdiction over disputes arising from these Terms or your use of the Site, unless otherwise required by mandatory consumer protection rules.

Before initiating formal proceedings, we encourage you to contact us so we can try to resolve concerns informally.

• Entire agreement — These Terms and the Privacy Policy constitute the entire agreement regarding the Site, except as supplemented by a Client Agreement for paid Services.
• Severability — If any provision is found unenforceable, the remaining provisions remain in effect.
• No waiver — Failure to enforce a provision is not a waiver of our right to enforce it later.
• Assignment — You may not assign these Terms without our consent. We may assign our rights as part of a merger, acquisition, or reorganization.
• Force majeure — We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, outages, labor disputes, or government actions.
